Terms of Service

1. Acceptance of Terms

By accessing or using the Flowlutions website at flowlutions.io, creating an account, or subscribing to any plan, you agree to be bound by these Terms of Service ("Terms"). Flowlutions is a product of Digitalutions LLC, a company registered in North Carolina. If you do not agree to these Terms, do not use our Services.

These Terms constitute a legally binding agreement between you ("you," "your," or "Customer") and Digitalutions LLC, operating as Flowlutions ("we," "us," "our," or "Flowlutions"). We reserve the right to update these Terms at any time. Material changes will be communicated via email or a prominent notice on our website. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms.

2. Description of Services

Flowlutions is a software-as-a-service (SaaS) platform designed for small and mid-size businesses. Our platform provides customer relationship management (CRM), marketing automation, sales pipeline management, appointment scheduling, reputation management, website and funnel building, SMS and email communication tools, invoicing, and AI-powered agents including voice, chat, content, review response, and workflow optimization agents (collectively, the "Services").

The specific features available to you depend on the subscription plan you select. We reserve the right to modify, enhance, or discontinue any feature at any time, with reasonable notice when possible.

3. Account Registration

To use our Services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] if you become aware of any unauthorized use of your account.

You must be at least 18 years of age to create an account. By registering, you represent that you are at least 18 years old and have the legal capacity to enter into this agreement.

4. Subscription Plans and Pricing

Flowlutions offers the following subscription plans:

All prices are in United States Dollars (USD). Pricing is subject to change with 30 days' notice. If you are on an active subscription at the time of a price change, your current rate will be honored until the end of your billing cycle, after which the new rate will apply upon renewal.

5. Free Trial

We offer a 14-day free trial on all plans. During the trial period, you will have full access to all features included in your selected plan. A valid payment method is required to start a trial. A temporary $1.00 authorization will be placed on your payment method to verify it is valid — this is not a charge and will be reversed automatically.

If you do not cancel before the 14-day trial period ends, your subscription will automatically convert to a paid plan and your payment method will be charged the applicable subscription fee. You may cancel your trial at any time during the 14-day period at no cost.

6. Billing and Payment

All payments are processed securely through Stripe. By providing a payment method, you authorize Flowlutions (via Stripe) to charge the applicable subscription fees on a recurring basis according to your selected billing cycle (monthly or annual).

Monthly subscriptions are billed on the same date each month. Annual subscriptions are billed on the anniversary of your subscription start date. If your payment fails, we will attempt to process it again over the following 7 days. If payment cannot be collected, your account may be suspended until the balance is resolved.

7. Cancellation Policy

When you cancel, your subscription will remain active until the end of your current paid billing period. You will retain full access to all features until that date. After your billing period ends, your account will be downgraded and access to paid features will be disabled.

If you are on an annual plan and cancel mid-term, you will retain access for the remainder of the annual period you have already paid for. No partial-year refunds will be issued.

8. Refund Policy

If you believe you were charged in error (for example, after a cancellation was confirmed), contact us at [email protected] within 14 days of the charge and we will investigate and correct any billing errors promptly.

9. Acceptable Use

You agree to use Flowlutions only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services to send spam, unsolicited messages, or messages in violation of the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, or any other applicable law.
• Upload, transmit, or distribute any content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
• Attempt to gain unauthorized access to any part of the Services, other accounts, or computer systems or networks connected to the Services.
• Use the Services to compete with Flowlutions or to build a similar or competing product.
• Reverse engineer, decompile, or disassemble any part of the Services.
• Use the AI agents to generate content that is misleading, fraudulent, or designed to deceive recipients into believing they are communicating with a human when legally required to disclose AI involvement.
• Resell or redistribute access to the Services without written authorization from Flowlutions.

We reserve the right to suspend or terminate your account without notice if we determine, in our sole discretion, that you have violated these terms.

10. SMS Communications

By opting in to our SMS service, you agree to receive text messages from Flowlutions regarding account updates, service notifications, appointment reminders, and — if separately opted in — promotional offers. Message frequency varies. Message and data rates may apply.

You may opt out at any time by replying STOP to any message. For assistance, reply HELP or call (984) 315-6558. Opting out of SMS will not affect your ability to use the platform, but certain automated features (such as missed-call text-back) will be disabled for your number.

11. AI Agents and Automated Tools

Flowlutions provides AI-powered agents including a voice assistant ("Flo"), chat agent, content agent, review response agent, and workflow optimization agent. These tools are designed to assist with business operations and customer communications.

You acknowledge and agree that: AI-generated content may occasionally be inaccurate or incomplete, and you are responsible for reviewing and approving any content before it is sent to your customers; AI agents are not a substitute for professional legal, financial, medical, or other licensed advice; you are responsible for ensuring that your use of AI agents complies with all applicable laws, including disclosure requirements where AI-generated communications must be identified as such; and Flowlutions is not liable for any decisions made or actions taken based on AI-generated content or recommendations.

12. Your Data and Content

You retain ownership of all data, content, and materials that you upload, create, or store within the Flowlutions platform ("Your Content"). By using our Services, you grant Flowlutions a limited, non-exclusive license to process, store, and display Your Content solely for the purpose of providing the Services to you.

You may export your contacts and data at any time in CSV format from your account dashboard. Upon cancellation, your data will be retained for 90 days to allow for export or reactivation. After 90 days, your data will be permanently deleted in accordance with our Privacy Policy.

13. Intellectual Property

The Flowlutions name, logo, website design, platform interface, documentation, AI models, and all related intellectual property are owned by Digitalutions LLC and are protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property except the limited license to use the Services as described herein.

You may not use the Flowlutions name, logo, or branding in any way that suggests endorsement or affiliation without prior written consent.

14. Third-Party Integrations

The Services allow you to connect with third-party applications and services including Google, Facebook, Instagram, Stripe, QuickBooks, Slack, Zapier, and others via direct integrations or our open API. Your use of any third-party service is governed by that service's own terms and privacy policy. Flowlutions is not responsible for the availability, accuracy, or practices of any third-party services.

15. Service Availability

We strive to maintain 99.9% uptime for our platform. However, we do not guarantee uninterrupted or error-free service. Scheduled maintenance will be communicated in advance when possible. We are not liable for any downtime, data loss, or service interruptions caused by circumstances beyond our reasonable control, including internet outages, third-party provider failures, natural disasters, or acts of government.

In the event of a prolonged outage exceeding 72 consecutive hours that is solely attributable to Flowlutions (not third-party providers), affected customers on paid plans may request a pro-rated service credit for the downtime period by contacting [email protected]. Service credits are applied to future billing and are not redeemable for cash.

16. Limitation of Liability

To the maximum extent permitted by applicable law, Flowlutions, Digitalutions LLC, and their officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising out of or in connection with your use of or inability to use the Services, regardless of the theory of liability.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to Flowlutions in the 12 months preceding the event giving rise to the claim.

17. Indemnification

You agree to indemnify, defend, and hold harmless Flowlutions, Digitalutions LLC, and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: your use of the Services; your violation of these Terms; your violation of any applicable law or regulation; any content you upload, send, or make available through the Services; or your infringement of any third party's rights.

18. Termination

We may suspend or terminate your account at any time if you breach these Terms, engage in fraudulent activity, fail to pay amounts owed, or if we are required to do so by law. Upon termination for cause, you will not be entitled to any refund of prepaid fees.

You may terminate your account at any time by canceling your subscription as described in Section 7. Upon termination, your right to use the Services ceases immediately at the end of your paid billing period.

19. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Wake County, North Carolina.

You agree that any arbitration shall be conducted on an individual basis and not as a class action, class arbitration, or representative proceeding. You waive any right to participate in a class action lawsuit or class-wide arbitration against Flowlutions.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict-of-law provisions. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Wake County, North Carolina.

21. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

22. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Flowlutions regarding your use of the Services, and supersede all prior agreements, representations, and understandings.
